Who you are agreeing with

Certified Payroll is operated by Lakisha Adu, a sole proprietor based in Germany. Full contact and business details are in the Impressum. These terms apply when you create an account, use the free tier, or subscribe.

What the service does

Certified Payroll helps you fill and check a weekly Davis-Bacon certified payroll report (federal form WH-347). It checks the wage and fringe figures you enter against wage determination data fetched live from SAM.gov, a public U.S. government source, and assembles the completed PDF in your browser.

What it does not do

Certified Payroll is a checking and filing tool, not legal, accounting, or labor-law advice. Wage determination data comes from SAM.gov as published; we do not guarantee it is current, complete, or free of errors on the government's side, and a revision can supersede the one you checked against. You remain responsible for the accuracy of what you submit to a contracting officer and for your own compliance with Davis-Bacon and any state prevailing wage law. Using this tool does not transfer that responsibility to us.

Intellectual property

Certified Payroll, its code, design, and the Certified Payroll name and logo, belong to Lakisha Adu. Subscribing gives you a license to use the service for your own certified payroll filings; it does not transfer ownership of the software to you. You keep ownership of everything you enter (worker names, hours, wage rates, project details), as covered in Your data below.

Accounts

You need an account to save projects and file payrolls. You are responsible for keeping your password secure and for what happens under your account. Tell us if you believe it has been compromised.

Free tier and subscription

• A new account can file two payrolls free, no card required.
• Beyond that, filing more requires a subscription at $79 per month, billed monthly in advance, charged automatically until cancelled.
• Prices are in U.S. dollars. We can change pricing for future billing periods; we will not change what you already paid for a period already billed.

Cancellation

You can cancel from inside the app at any time through "Manage billing," which opens Stripe's billing portal. Cancellation stops future charges; access to paid features continues until the end of the period you already paid for. Payrolls and projects you already created stay in your account and remain readable after cancellation, consistent with the three-year recordkeeping period Davis-Bacon contractors are required to keep.

Refunds

Charges are non-refundable except where required by law. If something charged incorrectly, contact us and we will look at it.

Your data

What you enter, worker names, hours, wage rates, project details, stays yours. How we handle it is described in the Privacy Policy. We do not sell it or use it to train anything.

Acceptable use

Do not use the service to submit information you know to be false, to attempt to access another account, or to interfere with the service's operation, including the SAM.gov lookup it depends on.

Availability

The service depends on third parties we do not control, including SAM.gov, Supabase, and Stripe. We do not guarantee uninterrupted availability and are not liable for outages caused by those providers.

Liability

The service is provided as is. To the extent permitted by law, we are not liable for indirect losses, or for consequences of relying on wage determination data that was itself incomplete, delayed, or superseded on SAM.gov's side. Where we are liable at all, our total liability to you for any claim is capped at what you paid us in the 12 months before the claim arose, or $100 if you were on the free tier. Nothing here limits liability that cannot be limited under applicable law.

Indemnification

You agree to cover our reasonable costs and damages if a claim against us comes from your own misuse of the service, from data you entered that you knew to be false, or from your violation of these terms, Davis-Bacon, or another law that applied to your filing.

Force majeure

Neither of us is responsible for a delay or failure caused by something genuinely outside our control, for example a SAM.gov outage, an internet or power failure, or a natural disaster.

Assignment

You cannot transfer your account or these terms to someone else without our consent. We can transfer these terms as part of selling or restructuring the business, as long as your rights under them do not get worse as a result.

If part of these terms turns out to be unenforceable

The rest still stands. An unenforceable clause is read as narrowly as needed to make it enforceable, or removed if it cannot be, without affecting the rest of the agreement.

Ending an account

You can stop using the service at any time; cancel any active subscription first through "Manage billing." We can suspend or end an account for a clear violation of acceptable use, or if a charge fails and is not resolved within a reasonable time.

Changes to these terms

If these terms change in a way that matters, we will update the date at the top of this page. If you keep using the service after a change, that change applies to you going forward.

Governing law

These terms are governed by German law. This section is one of the ones flagged above for legal review, particularly given customers are based in the United States.
